Terms of Service

1. Acceptance of Terms
By accessing or using the KEMIRIX platform, website, or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you (or your institution) and KEMIRIX. If you are accessing the Service on behalf of an institution, you represent that you have authority to bind that institution to these Terms.
2. Description of Service
KEMIRIX is a clinical medication safety and clinical decision support platform. The Service provides licensed healthcare professionals with automated screening of medications for drug interactions, organ function contraindications, pharmacogenomic factors, traditional medicine conflicts, and related clinical safety alerts (“Clinical Outputs”).
The Service is currently in Phase 1 Beta. Features, availability, and terms may change during the beta period. Material changes will be communicated to registered users with reasonable notice.
3. Clinical Disclaimer and Scope of Use
KEMIRIX IS A DECISION SUPPORT TOOL — NOT AN AUTONOMOUS CLINICAL DECISION-MAKER.
All Clinical Outputs produced by KEMIRIX require review, clinical interpretation, and authorisation by a licensed healthcare professional before any patient-affecting decision is made. KEMIRIX does not diagnose medical conditions, prescribe treatments, or make independent clinical decisions.
The platform is intended for use by: licensed physicians, pharmacists, nurses, and other qualified healthcare professionals operating within their scope of practice and professional regulatory requirements.
KEMIRIX is not intended for emergency use without concurrent clinical supervision. In any emergency, contact local emergency services immediately.
4. User Responsibilities
As a user of the KEMIRIX platform, you agree to:
- Use the Service only for lawful clinical purposes within your scope of professional practice
- Review all Clinical Outputs before acting on them — KEMIRIX outputs are advisory, not directive
- Maintain the confidentiality of your account credentials and not share access with unauthorised individuals
- Ensure your institution has entered into any required Data Processing Agreements before processing patient health information through the platform
- Report any suspected security incidents, data breaches, or clinical output errors to admin@kemirix.com immediately
- Comply with all applicable laws, professional regulations, and institutional policies when using the Service
- Not attempt to reverse engineer, decompile, or circumvent any part of the platform
- Not submit false, fraudulent, or misleading information to the platform
5. Data Processing and Patient Information
Where the Service is used to process patient health information, KEMIRIX acts as a data processor on behalf of the institution (the data controller). Institutional use of the Service for patient data processing requires a signed Data Processing Agreement (DPA). Contact admin@kemirix.com to request a DPA prior to processing any patient data.

6. Security Obligations
KEMIRIX implements the following security standards for the platform:
- AES-256 encryption at rest and TLS 1.3 in transit for all data
- Role-based access control with audit logging of all data access and clinical output events
- Hard-gate veto architecture preventing high-risk outputs from bypassing safety checks
- Offline-first architecture keeping patient data on-device unless cloud sync is explicitly configured
You are responsible for maintaining the physical and network security of the devices and systems through which you access KEMIRIX. KEMIRIX is not liable for data breaches arising from inadequate security on the user or institution side.
7. Intellectual Property
All content, software, algorithms, clinical logic, knowledge bases, databases, designs, and trademarks associated with KEMIRIX are the exclusive intellectual property of KEMIRIX and its licensors. Nothing in these Terms grants you any ownership right in the platform or its underlying technology.
Licensed clinical databases (including DrugBank, PharmGKB, CPIC, and OpenFDA) are subject to their respective licensing terms. KEMIRIX maintains the appropriate licences for all integrated data sources. Users may not extract, reproduce, or redistribute database content outside of their normal use of the platform.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- KEMIRIX provides Clinical Outputs on an 'as-is' basis. The platform is a decision support aid and does not guarantee the accuracy, completeness, or clinical appropriateness of any output in every clinical situation.
- KEMIRIX is not liable for any clinical outcome, patient harm, or adverse event arising from a decision made using the platform, whether or not such decision followed or deviated from a KEMIRIX Clinical Output.
- KEMIRIX is not liable for any loss or damages arising from platform downtime, data loss, or technical failure, except to the extent required by mandatory applicable law.
- In jurisdictions where limitation of liability for medical software is restricted, applicable statutory protections for patients and users take precedence.
9. Beta Programme Terms
During the Phase 1 Beta period, access to the Service is provided at no cost to approved pilot institutions and individual clinicians. Beta access may be withdrawn at any time with reasonable notice. KEMIRIX may modify, restrict, or discontinue features during the beta period as part of the development process.
Beta participants agree to provide feedback on clinical output quality, workflow integration, and platform performance. Feedback may be used to improve the platform. No PHI will be included in feedback submissions.
10. Regulatory Status
KEMIRIX is pursuing Kenya Pharmacy and Poisons Board (PPB) Category II Software as a Medical Device (SaMD) certification. The platform is not yet formally approved or cleared by any regulatory authority. Users are responsible for ensuring that use of the platform complies with the regulatory requirements of their own jurisdiction. KEMIRIX will publish regulatory status updates on its website as they occur.
11. Termination
KEMIRIX reserves the right to suspend or terminate access to the Service for any account that violates these Terms, poses a security risk, or engages in conduct inconsistent with the clinical and ethical standards expected of healthcare professionals using the platform.
You may terminate your account at any time by contacting admin@kemirix.com. Upon termination, we will process any data deletion requests in accordance with our Privacy Policy.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising under these Terms shall be subject to the jurisdiction of the Kenyan courts, unless otherwise required by mandatory applicable law in the user’s jurisdiction.
13. Changes to These Terms
KEMIRIX may update these Terms from time to time. Material changes will be communicated to registered users by email at least 14 days before they take effect, except where immediate changes are required for security or legal reasons. Continued use of the Service after the effective date of revised Terms constitutes acceptance.
